BY REGISTERING FOR MYMILESMATTER™ BY SHELL ROTELLA® YOU ACKNOWLEDGE AND AGREE TO BE BOUND BY ALL OF THE TERMS AND CONDITIONS ("TERMS") STATED HEREIN. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT REGISTER FOR MYMILESMATTER™ BY SHELL ROTELLA® . SHELL (AS DEFINED BELOW) RESERVES THE RIGHT TO MODIFY OR TERMINATE MyMilesMatter by Shell Rotella® AT ANY TIME AND IN ANY MANNER, IN WHOLE OR IN PART, AS OUTLINED BELOW, EVEN THOUGH SUCH CHANGES MAY AFFECT THE REDEMPTION VALUE OF THE REWARD MILES (AS DEFINED BELOW) ALREADY ACCUMULATED OR THE AVAILABILITY OF REDEEMABLE MERCHANDISE. YOU AGREE THAT YOU WILL REVIEW THESE TERMS PERIODICALLY AND THAT YOU SHALL BE BOUND BY THESE TERMS AND ANY MODIFICATIONS HEREOF.

Registration

To set up a MyMilesMatter by Shell Rotella® rewards account ("Rewards Account"), you must register at www.MyMilesMatter.com. You must use a computer with Internet access to access the website and then you must enter your first name, last name, email address, password, and mailing address as well as other information such as vehicle type which will allow you to receive the right communication according to your preferences. While registering, you must accept these Terms, after which registration is complete. Only the individual named as the primary account holder (the "Member") will accrue miles and will be entitled to access Rewards Account information.

Earning Rewards Miles

Other than Applicable Quebec Members (as defined below), Members earn Reward Miles ("Reward Miles") for qualifying purchases of Shell Rotella products. Reward Miles are accrued on the basis of the Member's submissions of unique MyMilesMatter Reward Codes found inside Shell Rotella product packaging ("Reward Codes") or included in the ticket or invoice of oil change service at a valid installer location (Registered locations can be found in the store locator in the website). A summary of a Member's Rewards Account may be viewed at www.MyMilesMatter.com.

Conditions of Use

SOPUS and Shell Canada Products (“Shell”) will attempt to credit Members' accounts with Reward Miles on a timely basis. However, each Member shall have the responsibility of ensuring that his or her miles are properly credited. Any claim for Reward Miles not credited accurately must be received by Shell within six (6) months of the date of claimed accrual of such Reward Miles; otherwise such Reward Miles shall no longer be valid or usable.

Shell shall have no liability for any printing, production, typographical, mechanical or other errors in the Reward Miles summaries distributed by Shell or its agents, for any delay or failure to credit Reward Miles to Member accounts, or for any failure to provide Rewards Account summaries as outlined herein.

Shell reserves the right to invalidate Reward Miles from a Member's Rewards Account if it determines in its sole discretion that such miles were improperly credited to such Member's Rewards Account or were obtained fraudulently or otherwise in violation of these Terms. Shell reserves the right to require proof of purchase (receipt and cap) supporting Reward Miles or Reward Codes and Shell reserves the right to delay the processing or redemption of any Reward Miles or Reward Codes without notice, in order to assure compliance with these Terms.

By participating in MyMilesMatter by Shell Rotella®, each Member is responsible for maintaining the confidentiality of his or her Rewards Account and password and for restricting access to the Rewards Account. The Member agrees to accept responsibility for all activities that occur under the Member's Rewards Account or password. Without limiting any other remedies, Shell may suspend or terminate any Rewards Account if Shell suspects in its sole discretion that any Member or other person has engaged in fraudulent activity in connection with MyMilesMatter by Shell Rotella®.

Reward Miles and Reward Codes do not constitute property, do not entitle a Member to a vested right or interest, and have no cash value. As such, Reward Miles and Reward Codes are not redeemable for cash, transferable, or assignable for any reason. The sale, barter, transfer, or assignment of any accumulated Reward Miles or Reward Codes, other than by Shell, is strictly prohibited. Any Reward Miles or Reward Codes which Shell deems in its sole discretion to have been transferred, sold, bartered, or assigned in violation of these Terms may be confiscated and/or canceled.

Participation in MyMilesMatter by Shell Rotella® is subject to these Terms, as well as policies and procedures that Shell may adopt or modify from time to time. Any failure to abide by these Terms or any policies or procedures implemented by Shell, any conduct detrimental to Shell, or any misrepresentation or fraudulent activities in connection with MyMilesMatter by Shell Rotella® , or failure to act in a manner consistent with federal, state, provincial, or local laws, regulations or ordinances, may result, in addition to any rights or remedies available to Shell in law or equity, in the termination of membership in MyMilesMatter by Shell Rotella® , as well as forfeiture of any Reward Miles accrued to date, and any other benefits earned in connection therewith, in Shell's sole discretion.

You must comply at all times with all laws, rules, and regulations that are applicable to you. You agree to comply with these Terms and with the terms governing any MyMilesMatter by Shell Rotella® offers and promotions at all times. You agree that your participation in MyMilesMatter by Shell Rotella® is entirely at your own risk. You are responsible for restricting access to and maintaining the confidentiality of your MyMilesMatter by Shell Rotella® account and password, and you agree to accept responsibility for the activities of anyone using your password. The receipt or redemption of Reward Miles may be subject to tax liability. Any tax liability, including disclosure, with respect to the receipt or use of Reward Miles, or other rewards is solely your responsibility. You agree to check with your tax advisor regarding possible tax implications. You agree that if you object to any of these Terms, or any modifications thereof, or otherwise become dissatisfied with MyMilesMatter by Shell Rotella® , your only recourse is to immediately discontinue participation in MyMilesMatter by Shell Rotella® and terminate your membership.

You agree to provide accurate information to us at all times and to promptly update your online profile of any change in address — mail or email — by updating personal information at www.MyMilesMatter.com.

The accumulation of Reward Miles is subject to these Terms. Each Member is responsible for reading these Terms, newsletters, and Account statements in order to understand his or her rights, responsibilities, and status in MyMilesMatter by Shell Rotella®, as well as the structure for earning rewards (“Rewards”, and individually, a “Reward.”)

Accrued Reward Miles do not constitute property of the Member. Reward Miles accrued by a Member are for the Member's benefit only and cannot be transferred to anyone. Reward Miles are transferable to a legal spouse or domestic partner in the case of documented death of the Member. Reward Miles are not transferable to another person for any other reason.

To enroll in MyMilesMatter by Shell Rotella®, you must be a legal resident of the 50 United States (excluding U.S. territories), District of Columbia, or Canada, have a valid mailing address, a valid email address and telephone number. MyMilesMatter by Shell Rotella® is void elsewhere and where prohibited. You must also be at least 18 years of age as of the date of enrollment and have the capacity to enter into a binding contract. Businesses, corporations, joint ventures, partnerships, groups, associations, and other non-personal entities are not eligible to participate in MyMilesMatter by Shell Rotella®. Employees of Shell, its affiliates, subsidiaries, and its advertising, promotion and Internet agencies and their immediate family members and/or those living in the same household of each are not eligible. All federal, state, provincial and local laws and regulations apply. Void where prohibited by law. Each individual may maintain only one Rewards Account. Your membership is non-transferable.

To enroll in MyMilesMatter by Shell Rotella® you must complete the online application process at this website, where you will be asked to provide certain identifying information, including your email address and telephone number. All information submitted must be truthful and accurate. It is your responsibility to ensure that the information you have provided remains current, and to promptly notify us (by updating your online profile) of any changes.

Please review our Privacy Policy which governs MyMilesMatter by Shell Rotella® to understand our practices in connection with the use and protection of your personal information.

Information you submit on our website will be used as described in the Privacy Policy, which is described on a Shell website. By applying for enrollment in, and participating in, MyMilesMatter by Shell Rotella® you are agreeing that we may use your information as described in the Privacy Policy. You are also agreeing to review these Terms and the Privacy Policy regularly so that you can make informed decisions about your use of our website, your participation in MyMilesMatter by Shell Rotella® , and the personal information you choose to share with us.

Shell has the right to change, limit, modify or cancel these Terms, Rewards and reward levels at any time, with or without notice, even though such changes may affect the value of Reward Miles, or the ability to obtain certain Rewards. Shell may, among other things: a) increase or decrease the number of Reward Miles earned for a product or required for a Reward, including but not limited to ceasing printing codes under the caps on Shell Rotella® products; b) withdraw, limit, modify or cancel any Reward; c) change these Terms, rules for earning, redeeming, retaining or forfeiting Reward Miles, or rules governing the use of Rewards.

Existing Members who are Quebec Persons (“Applicable Quebec Members”) will be provided with written notice of any amendment to these terms and conditions (setting out the new clause only or the amended clause and how it read formerly and the date that the amendment will take effect) at least 60 days, but not more than 90 days, before it is to take effect. Upon receipt of the notice, Applicable Quebec Members may choose to reject the amendment and rescind these terms and conditions.

For Applicable Quebec Members, amendments to the Program will not have the effect of:

1. allowing the expiry of exchange units following a conversion into another form of exchange unit;
2. unilaterally modifying the following elements of the Program to the detriment of the Member:
   1. the number of exchange units received by a Member who is entitled to collect Miles;
   2. the conversion factor used to convert exchange units into another form of exchange unit applicable to the exchange units received by the Member; or
3. unilaterally increasing the exchange units required to obtain goods or a service in a disproportionate manner with respect to the increase of the retail value of the goods or service.

Members will receive, for qualifying purchases of Shell Rotella products that are properly credited to the Member's Rewards Account, Reward Miles according to the mile value for each purchase (www.MyMilesMatter.com/about/howtoearn).

The purchase receipt/service invoice for each qualifying product purchase or service, must be uploaded to https://www.mymilesmatter.com/earn/upload. Members should retain original product or service purchase receipt for record keeping.

Reward Miles will be issued to the Member's Rewards Account. Members may also be eligible to receive Bonus Reward Miles (as defined below) from Shell, for specified promotional offers advertised by Shell from time to time at the sole discretion of Shell. The details of such Bonus Reward Miles will be provided at the time the offer is made. Bonus Reward Miles may also be earned in connection with transactions with Shell promotional partners as designated by Shell.

Except where required by law, Reward Miles have no cash value and do not constitute property.

Shell reserves the right to change the number of Reward Miles awarded for purchases at any time during the operation of MyMilesMatter by Shell Rotella®. Reward Miles collected through other methods including but not limited to, scratch cards, Reward Codes in print, or Reward Codes on checkout coupons, may vary in value as disclosed on the promotional materials themselves. Bonus Reward Miles are defined as (a) Reward Miles collected by means other than entering Reward Codes from participating purchases or (b) Reward Miles collected from Reward Codes on participating products or receipts that vary from the amounts listed on our website, as it may be amended from time to time.

The Rewards structure is subject to modification, cancellation, or limitation at Shell's discretion, with or without notice. The number of Reward Miles required to redeem any Reward may be substantially increased, any Reward may be withdrawn, and restrictions on any Reward or reward redemption (“Reward Redemption”) may be imposed at any time. Reward Miles may be redeemed for merchandise or coupons found in the Catalog of Rewards, which is posted and periodically updated on the MyMilesMatter by Shell Rotella® website at www.MyMilesMatter.com.

See www.MyMilesMatter.com for details on how to redeem Reward Miles. Reward Miles will be subtracted from a Member's Rewards Account at the time the Member requests a Reward.

Each redeeming Member is solely responsible for ensuring that his or her shipping address is correct in MyMilesMatter by Shell Rotella® records prior to redemption. MyMilesMatter by Shell Rotella® 's obligation regarding delivery of a Reward is satisfied upon shipping the selected award to the address for the Member contained in MyMilesMatter by Shell Rotella® records as of the date of redemption.

MyMilesMatter by Shell Rotella® is not responsible for lost or stolen Rewards and will be responsible for non-receipt of rewards only when a reward is shipped to an address different than the one in MyMilesMatter by Shell Rotella® records as of the date of redemption.

Members must allow 6 to 8 weeks for shipment of a selected Reward. No cash will be exchanged for the unused portion of any Member's Reward Miles. Once Reward Miles have been redeemed for a Reward, they are no longer valid for any subsequent redemption and they may not be returned or refunded to a Member's Rewards Account for any reason.

Beginning March 1, 2020, we may expire all of your Reward Miles in your Rewards Account if your Rewards Account is inactive for at least 365 consecutive days. For the purposes of this section, “inactive” means you have neither earned Reward Miles nor had a valid Reward Redemption within such period of time. Members shall be entitled to advance notice of such expiry from Shell, should such advance notice be required pursuant to local laws.

Shell has the right to terminate MyMilesMatter by Shell Rotella® by providing notice at its website, and via email, to its Members ninety days in advance of MyMilesMatter by Shell Rotella® termination. In that event, the right to earn Reward Miles and redeem Rewards may end ninety days after notification, no matter the extent of Member participation in MyMilesMatter by Shell Rotella®. Shell may terminate MyMilesMatter by Shell Rotella® earlier in whole or in part in any jurisdiction(s) if required to do so by applicable law.

Beginning March 1, 2020, at Shell's discretion, Shell may close a Member's Rewards Account if that Member has not engaged in any activity associated with his/her Rewards Account (through earning Reward Miles or Reward Redemption) for 365 consecutive days or more. For the avoidance of doubt, Reward Accounts that have not accrued any Reward Miles during the prior 60-month period will be closed and all remaining miles will be forfeited. If at any time, a Member dies, then his/her Member's Reward Account will be considered closed as of the date of his/her death.

If a Member's Rewards Account is closed for any reason, then all Reward Miles in a Member's Rewards Account will be forfeited on the date that the Member's Rewards Account is closed.

You may cancel your MyMilesMatter by Shell Rotella® membership at any time by calling 800-566-8979. Cancellation may take up to 10 business days to finalize. During that period, you may receive previously scheduled promotional emails. You will forfeit your entitlement to any MyMilesMatter by Shell Rotella® Reward immediately upon deactivation or termination of your membership.

Shell reserves the right, at its sole discretion, to (a) suspend, change or terminate MyMilesMatter by Shell Rotella® , any individual promotion, or any Member benefit, in whole or in part; (b) modify, limit or suspend the use and/or redemption of any Reward Miles, in any respect; (c) modify or change redemption procedures, including the amount of Reward Miles required for particular rewards; (d) modify, limit or suspend the collection of Reward Miles, including but not limited to imposing time limits and changes in Rewards Mile value. Shell may make these changes even though the changes may affect the value of a Member's Reward Miles already accumulated at any time and from time to time. Your continued participation in MyMilesMatter by Shell Rotella® after any modification to MyMilesMatter by Shell Rotella® and/or these Terms will indicate your acceptance of any such modification. You expressly agree to assume responsibility for reviewing the Terms for any updates or modifications. If you don't agree to any changes to MyMilesMatter by Shell Rotella® or these Terms, your sole remedy is to deactivate your Rewards Account (and forfeit any unused Reward Miles).

You expressly agree to waive and set aside your respective rights and obligations under any applicable law in the event of any termination of MyMilesMatter by Shell Rotella® or modification of these Terms to the extent that such law requires any judicial pronouncement for the termination of MyMilesMatter by Shell Rotella® or modification of these Terms.

SHELL MAKES NO WARRANTY OF ANY KIND REGARDING MYMILESMATTER™ BY SHELL ROTELLA®, WHICH IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. SHELL EXPRESSLY DISCLAIMS ANY REPRESENTATION OR WARRANTY THAT MyMilesMatter by Shell Rotella® OR ITS WEBSITE(S) WILL BE ERROR-FREE. SHELL FURTHER DISCLAIMS ANY WARRANTY AS TO THE ACCURACY, COMPLETENESS AND TIMELINESS OF ANY CONTENT OR INFORMATION DISTRIBUTED WITH RESPECT TO MyMilesMatter by Shell Rotella® OR OTHERWISE. SHELL EXPRESSLY DISCLAIMS ALL WARRANTIES AND REPRESENTATIONS, INCLUDING IMPLIED WARRANTIES AND WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND THOSE ARISING BY STATUTE OR OTHERWISE IN LAW OR FROM A COURSE OF DEALING OR USAGE OF TRADE. SOME STATES AND PROVINCES DO NOT ALLOW THE DISCLAIMER OF IMPLIED WARRANTIES, SO THIS WARRANTY DISCLAIMER MAY BE LIMITED IN ITS APPLICABILITY TO YOU.

MyMilesMatter by Shell Rotella® Reward Miles and Rewards earned through participating in MyMilesMatter by Shell Rotella® may be subject to tax liability. Any tax liability, including disclosure, connected with the receipt or use of MyMilesMatter by Shell Rotella® Reward Miles or Rewards is the sole responsibility of the Member.

Members may not purchase or otherwise acquire Reward Codes from third parties and may not combine Reward Codes obtained by others for deposit into a single Member's account. Members may not transfer or sell Reward Codes under any circumstance, other than in programs authorized by Shell. Any attempt to combine or transfer Reward Codes or Reward Miles will result in disqualification from MyMilesMatter by Shell Rotella® and forfeiture of all Reward Miles in the Member's Rewards Account. MyMilesMatter by Shell Rotella® reserves the right to take any other or additional action it deems appropriate in its sole discretion in the event that Shell believes (in its sole discretion) that a Member (or Members) have violated any of these provisions.

Reward Miles do not constitute property of a Member and may be revoked at any time by Shell as set forth herein. Reward Miles may not be transferred or assigned, except as specifically permitted by Shell on its website from time to time.

Shell has the sole discretion to interpret and apply these Terms, and all questions or disputes regarding these Terms will be resolved by Shell in its sole discretion.

In the case of fraud or abuse involving MyMilesMatter by Shell Rotella® , Reward Miles, or Reward use, Shell has the right to take appropriate administrative and/or legal action, including but not limited to revocation/cancellation of any Reward and/or termination of MyMilesMatter by Shell Rotella® Membership, and all Reward Miles and Rewards earned through MyMilesMatter by Shell Rotella® may be forfeited and any relevant Rewards Account(s) closed.

MyMilesMatter by Shell Rotella® reserves the right to audit Members' accounts at any time and without notice to ensure compliance with these Terms. In the event the audit reveals discrepancies or violations, MyMilesMatter by Shell Rotella® may delay the processing of Rewards, or other redemptions and cancel any outstanding Reward Redemption orders until the discrepancies or violations are resolved. During an investigation, MyMilesMatter by Shell Rotella® may freeze the Member's Rewards Account. While the account is frozen, the Member may continue to accrue Reward Miles in his or her Rewards Account, but no redemptions or other transactions will be permitted and any outstanding Reward Redemption orders will be cancelled.

Members must save their proof of purchase for at least 90 days after the date a Member enters the Code on the website, as it may be necessary to submit it later for verification. MyMilesMatter by Shell Rotella® reserves the right to require proof that the Code was obtained by the Member in compliance with these Terms. In its sole discretion, MyMilesMatter by Shell Rotella® reserves the right to reverse Reward Miles previously credited to Members' Reward Accounts, if upon MyMilesMatter by Shell Rotella® request, Reward Codes cannot be properly verified. MyMilesMatter by Shell Rotella® 's decisions regarding the awarding of Reward Miles are final and binding. Submitted Reward Codes that are subsequently determined to be invalid for any reason are subject to disqualification and the corresponding Reward Miles will be removed from the Member's Rewards Account to which the invalid submitted Code Reward Miles were credited.

MyMilesMatter by Shell Rotella® reserves the right to discontinue the participation privileges of any Member who engages in any fraudulent activity or uses MyMilesMatter by Shell Rotella® in a manner inconsistent with these Terms or any federal, state, provincial or local laws, statutes or ordinances. Discontinued participation privileges may result in the loss of all accumulated Reward Miles. In addition to discontinuance of participation privileges, MyMilesMatter by Shell Rotella® shall have the right to take appropriate administrative and/or legal action, including criminal prosecution, as it deems necessary in its sole discretion.

MyMilesMatter by Shell Rotella® reserves the right to rescind Reward Miles credited to a Rewards Account which were obtained as a result of technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software related to MyMilesMatter by Shell Rotella®.

Shell's failure to comply with these Terms because of an act of God, war, fire, riot, terrorism, storm, earthquake, actions of federal, state, provincial or local governmental authorities or for any other reason beyond our reasonable control will not be deemed a breach of these Terms. If any such contingency shall last for more than thirty (30) days, we shall have the right to terminate MyMilesMatter by Shell Rotella® immediately by giving notice and shall have no further liability to any Member.

The awarding of Reward Miles and the redemption of Reward Miles are void where prohibited by law.

These Terms will be governed and be interpreted pursuant to the laws of the State of Texas, United States of America , notwithstanding any principles of conflicts of law. Except as otherwise described, all materials on this website are made available only for informational purposes. MyMilesMatter by Shell Rotella® makes no representation that these materials are appropriate or available for use in other locations. If any part of these Terms is unlawful, void, or unenforceable, that part will be deemed severable and will not affect the validity and enforceability of any remaining provisions. Possible evidence of use of this site for illegal purposes will be provided to law enforcement authorities.

Your application for enrollment, participation, and redemption of Rewards in connection with MyMilesMatter by Shell Rotella® are subject to our verification and acceptance, which acts shall be deemed made, performed, transacted, and closed in the State of Texas, USA. By participating in MyMilesMatter by Shell Rotella® , you agree that the laws of the State of Texas, without regard to any conflict of laws rules, will govern your and our observance of these Terms.

These Terms constitute the entire agreement between you and us regarding your participation in MyMilesMatter by Shell Rotella® , your entitlement to earn Rewards through MyMilesMatter by Shell Rotella® , and your entitlement to any other benefits of MyMilesMatter by Shell Rotella® , and supersede all prior agreements between us, whether oral or written, including, without limitation, all previous versions of these Terms.

If any provision of these Terms (including limitations of liability) is held by a court of competent jurisdiction to be void, invalid, contrary to law, or unenforceable for any reason, such provision shall be deemed changed and interpreted so as to best accomplish the objectives of the original provision to the fullest extent allowed by law and the remaining provisions of this Agreement shall remain in full force and effect.

MyMilesMatter by Shell Rotella® is the final authority as to the interpretation of these Terms and as to any other questions or disputes regarding MyMilesMatter by Shell Rotella® or any Reward. It is your express wish that these Program terms and conditions be written in the English language.

LIMITATIONS OF LIABILITY AND RELEASE OF CLAIMS AGAINST US.

NEITHER SHELL, ITS PARENTS, AFFILIATES, OR SUBSIDIARIES, PROGRAM AFFILIATES, SUPPLIERS, OR ANY OF THEIR OFFICERS, DIRECTORS, EMPLOYEES OR AGENTS ("ASSOCIATES") SHALL HAVE ANY RESPONSIBILITY OR LIABILITY FOR ANY CLAIM, LOSS, INJURY, DAMAGE, DELAY, ACCIDENT, COST OR EXPENSE (INCLUDING, WITHOUT LIMITATION, LEGAL FEES AND COSTS OF SUIT), NOR FOR ANY INCIDENTAL, INDIRECT, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (COLLECTIVELY, "LOSSES AND DAMAGES"), DIRECTLY OR INDIRECTLY ARISING OUT OF OR RELATED TO (I) THESE TERMS; (II) MyMilesMatter by Shell Rotella® OR THE WEBSITE; (III) ANY FAILURE, DELAY OR DECISION BY US IN ADMINISTERING MyMilesMatter by Shell Rotella® ; (IV) ANY UNAUTHORIZED USE OF AN ACCOUNT OR ANY BREACH OF SECURITY BEYOND OUR REASONABLE CONTROL; (V) ANY OFFER, REPRESENTATION, STATEMENT OR CLAIM ABOUT MyMilesMatter by Shell Rotella® MADE BY US OR ANY ASSOCIATE OR ANY OTHER PERSON OR ENTITY; OR (VI) THE PURCHASE, REDEMPTION FOR OR USE OF ANY REWARDS WHETHER MADE AVAILABLE BY US, ONE OF OUR ASSOCIATES OR ANY OTHER PERSON OR ENTITY, OR OTHERWISE. The foregoing limitations of liability shall apply whether the alleged liability is based on contract, negligence, tort, strict liability or any other basis, even if we or our affiliates or their representatives have been advised of or should have known of the possibility of such losses and damages, and without regard to the success or effectiveness of other remedies. In no event will the associates' total liability to any Member for any and all claims under any theory of law or equity be greater than $100.00.
